BuyNearby Platform — Independent Contractor Agreement

This Independent Contractor Agreement ("Agreement") is entered into between BuyNearby Inc. ("Platform") and you ("Contractor") upon your acceptance of these terms.

1. Contractor Status. You are an independent contractor, not an employee. You are responsible for your own taxes, CPP contributions, and EI premiums. The Platform does not withhold income tax on your behalf. You will receive a T4A if your annual earnings exceed $500.

2. Vehicle & Insurance. You must maintain valid automobile insurance covering your vehicle for commercial/delivery use. The Platform is not responsible for accidents, damages, or injuries arising from your use of your vehicle. You acknowledge that your personal auto insurance may not cover commercial delivery activities and agree to maintain appropriate coverage.

3. Earnings. Compensation is per delivery, calculated as base pay plus per-km rate plus any tips passed through in full. Courier deliveries are compensated at 70% of the quoted fee plus your share of any tip. Rates are posted in the driver portal and may be updated with 7 days notice.

4. Route Batching & Stop Additions. The Platform may add new stops to your active route during a shift — including courier pickups and deliveries on behalf of retailers and small businesses — when those stops are geographically compatible with your current route. New stops are appended in sequence and your estimated shift payout is updated in real time. This practice is designed to increase your effective hourly earnings toward the platform's target of $20/hr or more. You will not be penalised for stops added by the platform, and you may raise route concerns at any time through the driver portal.

5. Deactivation. The Platform may deactivate your account for: poor ratings (below 4.0 after 20+ deliveries), failure to maintain valid documents, or violation of platform policies. Non-urgent deactivations require written notice.

5. Age-Restricted Items. When delivering age-restricted items, you must verify customer ID before handoff. If a customer cannot provide valid ID, you must return the item and mark the delivery as refused.

6. Privacy. Customer information (name, phone, address) is confidential. You may not use customer data for any purpose other than completing the delivery. Customer data is deleted from your view after route completion.

7. Governing Law. This agreement is governed by the laws of Alberta, Canada.
